HOW TO ENTER:
You can enter the Promotion through the 1ClickPrizes application on the social networking web site in which the Promotion is advertised. You can also find the application on the Enter to Win tab on the 1ClickPrizes™ Page on Facebook. Contestants wishing to enter the Promotion must first register for an account at the social networking web site (the “Social Networking Site”). After completing the Social Networking Site registration, contestants can enter the Promotion by next visiting the Promotion website located at www.1clickprizes.com (“Promotion Website”), downloading the 1ClickPrizes™ Toolbar made available therein (which is optional) and then entering the Promotion via the Promotion Entry Application made available by 1ClickPrizes™ on the Social Networking Site (“Promotion Entry Application”). In order to complete the Toolbar registration form, each contestant must provide his or her correct and verifiable first name and e-mail address (collectively, “Toolbar Registration Data”).

When you enter the Promotion via the Promotion Entry Application, 1ClickPrizes™ will collect your Social Networking Site ID and name, as listed in your Social Networking Site account, as well as the name and Social Networking Site account of the person that referred you to the Promotion (if any is provided by you) (“Social Networking Site Profiles” and together with the Toolbar Registration Data, the “Registration Data”). Contestants must update their Registration Data, as necessary, to remain eligible to win.

Contestants may enter up to twenty-one (21) times during the Promotion Period (as defined below). Contestants may enter the Promotion by either: (a) clicking the applicable Promotion Entry Application button up to twenty-one (21) times; or (b) clicking the applicable Promotion Entry Application button at least one (1) time, and then referring the Promotion to at least (5) friends by posting the applicable message on those friends’ Social Networking Site profile pages, at which point the contestant will receive an additional twenty (20) entries (“Referral Entries”), up to a maximum of twenty-one (21) entries. IDENTIFICATION OF ENTRANTS:
Each entry will be collected and stored in the Promotion Database. For purposes of these Rules, the “Promotion Database” is defined as the entire list of Social Networking Site Profiles collected during the Promotion Period. 1ClickPrizes™ will stop accepting entries at 6:59:59 p.m. Eastern Standard Time (“EST”) on May 21st, 2012.

HOW TO WIN A PRIZE:
Upon the conclusion of the Promotion Period, two (2) winners will be randomly selected by 1ClickPrizes™ from among the list of Social Networking Site Profiles in the Promotion Database. The winners will be posted to 1ClickPrizes' Facebook wall, accessible by clicking here within thirty (30) days after that winner is chosen (contestants should ensure that their Social Networking Site Profiles are accurate and up to date). The winners will be subject to eligibility verification. Each winner will be required to execute and return a notarized Affidavit of Eligibility and Liability/Publicity Release within thirty (30) days following attempted notification. Non-compliance within this time period may result in forfeiture of the Prize (as defined below). Each winner will be required to provide picture proof of identification, which may include a driver’s license, passport, voting card or similar government issued identification. Return of any Prize/Prize notification as undeliverable may result in forfeiture. In no case shall 1ClickPrizes™ be liable in any manner where a Prize winner has not received notification sent from 1ClickPrizes™ or where 1ClickPrizes™ fails to receive a response from the winner within the required response period.

The winning entry must identically match the records maintained by 1ClickPrizes™ in order for the Prize to be awarded. In the event of a dispute, the information maintained by 1ClickPrizes™ will govern. PRIZE DESCRIPTION:
The winners selected after the Promotion Period will each receive One Hundred Dollars ($100.00) payable by check in one lump sum (each, a “Prize”).

ODDS OF WINNING PRIZE:
The odds of winning the Prize depend on the number of contestants in the Promotion Database.

PUBLICATION:

RELEASE:

CHOICE OF LAW/DISPUTE RESOLUTION:
Any disputes arising out of or related to the Promotion shall be governed by and construed in accordance with the laws of the State of New York (without regard to conflict of law principles). Should a dispute arise concerning the Promotion and/or terms and conditions of these Rules, or the breach of same by any party hereto, the parties agree to submit their dispute for resolution by arbitration before the American Arbitration Association in New York, New York, in accordance with the then current Commercial Arbitration rules of the American Arbitration Association. Any award rendered shall be final and conclusive to the parties and a judgment thereon may be entered in any court of competent jurisdiction. Nothing herein shall be construed to preclude any party from seeking injunctive relief in order to protect its rights pending arbitration. To the extent permitted by law, you agree that you will not bring, join or participate in any class action lawsuit as to any claim, dispute or controversy that you may have against 1ClickPrizes™, its legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents. You agree to the entry of injunctive relief to stop such a lawsuit or to remove you as a participant in the suit. You agree to pay the attorney's fees and court costs that 1ClickPrizes™ incurs in seeking such relief. These Rules do not constitute a waiver of any of your rights and remedies to pursue a claim individually and not as a class action in binding arbitration as provided above. This provision preventing you from bringing, joining or participating in class action lawsuits is an independent agreement. Should any part of these Rules be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect.

DISQUALIFICATION:
1ClickPrizes™, its legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents, are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer transmissions or technical failure, lost online or telephone entries, jumbled, scrambled or misdirected transmissions, or other error of any kind, whether human, mechanical or electronic. Persons found tampering with or abusing any aspect of the Promotion, as solely determined by 1ClickPrizes™, will be disqualified. If disqualified for any of the above reasons, 1ClickPrizes™ reserves the right to terminate contestant’s eligibility to participate in the Promotion. In the event that any portion of the Promotion is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of 1ClickPrizes™ which, in the sole opinion of 1ClickPrizes™, corrupts or impairs the administration, security, fairness or proper determination of the Promotion, 1ClickPrizes™ reserves the right, in its sole discretion, to suspend or terminate the Promotion or any part of the Promotion, or any combination of the above. 1ClickPrizes™, its legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents are not responsible for any problem with entries generated by computer hardware or software malfunction, error or failure, whatever the cause. 1ClickPrizes’™ sole responsibility for any irregular entry is replacement with another entry in a subsequent drawing. INDEMNIFICATION:
You agree to release, indemnify and hold 1ClickPrizes™, its legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents, harmless from and against any and all claims, expenses (including reasonable attorneys' fees, costs and settlement costs), damages, suits, costs, demands and/or judgments whatsoever, made by any third party due to or arising out of: (a) your use of the Promotion; (b) your breach of these Rules; and/or (c) your violation of any rights of another individual and/or entity. The provisions of this paragraph are for the benefit of 1ClickPrizes™, its legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents. Each of these individuals and entities shall have the right to assert and enforce these provisions directly against you on its own behalf.

LEGAL WARNING:
Any attempt by any individual, whether or not a contestant, to damage, destroy, tamper with or vandalize the Promotion Website, or otherwise interfere with the operation of the Promotion, is a violation of criminal and civil law and 1ClickPrizes™ will diligently pursue any and all remedies in this regard against any offending individual or entity to the fullest extent permissible by law and in equity.

SEVERABILITY:
Should any part of these Rules be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect.
